摘　　要：从企业组织形式发展，阐述了经营权与所有权从两权合一，两权分离，再到两权合一的演变。揭示了经营权与所有权关系的实质，指出了现代企业发展必不可少的资本要素：财务资本与知识资本。主张两权合一以减少机会主义消除X非效率的主导思想。This paper forms of organization from the enterprise development, and expounded the management and ownership rights from the two - one, two separation of powers, and then to the right of the unity of the evolution of the two. Reveals the relationship between management and ownership in real terms, pointing out that the modem enterprise development are essential elements of capital： financial capital and intellectual capital. The right to claim two - one in order to reduce the efficiency of the opportunist eliminate X non - dominant ideology.
