摘　　要：在公司社会责任下,董事义务内涵应当有所扩充。基于有限责任公司的特点,其董事义务履行呈现出内部难以制约、外部缺乏监管的局面。为此需要通过完善公司立法、加强内部监督、确立公益诉讼和董事责任追究制度,来推动董事履行公司社会责任层面下的义务。In the context of company social liability,the intension of a director＇s social liability should be enriched.From the characteristics of a limited company emerges difficulty in internal restriction and lack of external supervision of the implementation of a director＇s liability.It calls for an improvement of legislation of company law,enhancement of internal supervision and establishment of lawsuit system for public interest and director＇s liability investigation,to promote the implementation of a director＇s liability.
