摘　　要：当目前公司法学理与立法在频频质疑坚持"公司以资本为信"的观念成为主流的立法指引时,傅穹教授首次提出了公司资本信用悖论这一命题。通过对这一命题的解读,不难发现具有合理性。这一命题对传统的法定资本制和资本三原则的正当性提出了严峻的挑战和质疑,也迫使学者对公司资本制的制度成因和理论假定进行反思和检验。When scholars and lawmakers of company law frequently query the insistence that the idea of company with capital as credit becomes major legislation instruction,Professor Fuqiong puts forward paradox of company capital credit for the first time.It is not hard to find its rationality through interpretation.This paradox presents severe challenge and query to legitimacy of traditional legal capital system and three doctrines of capital,and also compels scholars to introspect and examine the systematic factors and theoretical assumption of company capital system.
