摘  要:既往的民营企业研究成果认为,欲解决当前的民营企业二次创业问题,必须对民营企业资产进行股份制改造,实现资产组织形式的多元化,实现所有权与经营权的分离,这样,才可能引入职业经理制。其实,倘若能够在民营企业所有者与职业经理人间建立良好的互信合作,在坚持民营企业资产一元化结构的前提下,也可能有效的引进职业经理制。晋商的成功经验,提供了可资利用的历史资源。The former research on private enterprises believed that, to solve the current problems of starting their new undertaking, private enterprises have to remold their assets with the stock system, diversify the means of managing their assets, and realize the separation of proprietary rights from management rights; and that only then can professional managers be introduced. Actually, if enterprisers and professional managers are able to establish the favorable mutual trust and cooperation, on the premise that private enterprisers adhere to the centralized structure of assets, it is also possible to effectively introduce professional managers. The successful experiences of Shanxi merchants provide beneficial historical resources.
