对中国反商业贿赂立法的反思

摘　　要：针对近年来商业贿赂泛滥的形势,本文从立法的角度分析了中国反商业贿赂立法的缺陷;从反商业贿赂法律体系内部、刑事立法的相关规定、主管机关、控股人应负的责任、规制海外贿赂行为的法律规则等方面论述了法律体系的缺陷;从商业贿赂的主体范围、对象范围、发生领域、主观方面规定及客体规定等方面论述了商业贿赂构成要素的缺陷;从商业贿赂的民事责任、行政责任和刑事责任等方面论述了商业贿赂法律责任的缺陷。并为反商业贿赂法的完善提出了一些有针对性的意见。Aiming at the circumstances of flowage of commercial bribery in recent years,this article analyzes the defects on Chinese legislation against commercial bribery from view of legislation,discoursing the defects of legal systems from multi-aspects,such as legal system itself,related stipulations of criminal law,authority in charge,responsibility of holding people,act of law of oversea bribery,etc.The defects of elements of commercial bribery discoursing from subject areas,object range,field of occurrence,subjective requirements,objective requirements,etc.The defects of legal liability of commercial bribery discoursing from civil liability,administrative responsibility,criminal responsibility,etc..Which will put forward to some targeted suggestion for the perfection of legislation against commercial bribery.
