摘　　要：农民专业合作社作为组织农民进入市场的制度安排,能有效应对非对称市场带来的风险,满足消费者需求,是农民增收增效、促进城乡和谐发展的有效手段。虽然农民专业合作社的内在规定性为法人,但是其治理问题较之公司法人更趋复杂,突出表现为现有的外部约束条件下,农民专业合作社的治理结构是如何设计的?其治理机制又是如何运作的?在已有的农民专业合作社的所有权结构中,投资者、经营者以及惠顾者分别处于怎样的地位?合作社治理过程中如何平衡多元利益主体的诉求等问题上,这些问题的核心在于经济的市场化过程中,农民专业合作社特有的产权制度安排形成社员民主控制与管理层专业化经营的内在利益冲突,而农民专业合作社的意思自治与法律强制的合理、动态平衡是解决这一冲突的有效途径。Farmer cooperatives entering the market as institutional arrangements can effectively deal with the risks of asymmetric market to meet consumers ＇ demand, increase efficiency of farmers and promote the harmonious development of effective means of urban and rural areas. Although the inherent requirements of the farmer professional cooperatives are legal entities, but its corporate governance issues are more complicated than that, for example, for the existing external constraints, how to design farmer cooperatives governance structure, how to run the governance mechanisms, the existing professional farmer cooperative ownership structure, investors, operators and patrons are situated in what position, how to balance the demands of multiple interest groups. The core of all these problems lies in the inherent interest conflict between the farmer members democratic control and its administrative section~ specialized management. The reasonable and dynamic equilibrium between the meaning autonomy and the legal enforcement of farmer cooperatives is an effective way to resolve this conflict.
