摘　　要：论文基于2009年中国企业海外资源并购的相关统计基础数据,对海外资源并购的区位分布、并购的方式与手段、并购主体、并购的支付方式进行了详细的分析。结合2009年中铝并购力拓事件的失败原因,提出了海外资源并购的策略:鼓励多元化的主体参与并购;通过合作与联盟的方式参与并购;注意淡化国家色彩;采取低调扩张的策略;扩大并购目的地范围。Based on the statistical data in 2009, the article carried out a detailed analysis of location distribution, ways and means, main body, payment pattern of m＆A on the overseas resources. Combined the reason for failure about CHALCO inject funds to Rio Tinto, proposing strategies about m＆A on the overseas resources： Encouraging a variety of parties to take part in the m＆A ; Weaken the ＂national colors＂ ; Adopt strategy of Low - key expansion ; Expand the scope of destinations on m＆A.
