摘　　要：接管是危机商业银行的重要救助措施,得到很多国家和地区的金融法律所明确规定。尽管我国大陆地区《商业银行法》对之也作出了规定,但较为简单,缺漏较多,无法发挥接管的应用功效。而我国澳门地区的立法则对商业银行接管条件、接管效力、接管中的权力(利)义务、接管程序等做了较为详细、合理的规范,值得大陆地区学习和借鉴。Take-over is a very important measure to help commercial banks in crisis,which is stipulated in the financial laws of most countries and areas.Law of the People＇s Republic of China on Commercial Banks also regulates it,but the regulations are simple and deficient which makes it disable.Then there are specific reasonable norms on take-over conditions,effect,powers（rights） and duties,and procedure in the legislation of the Macao region,which can be a good reference for China's Mainland.
