摘　　要：有限责任公司股东退股是股东的一项权利,基本价值在于保护中小股东的合法权益。我国2005年修订的《公司法》第七十五条虽明确规定了有限责任公司股东退股权制度,但只是原则性的规定,给实践操作带来了困难。文章通过对有限责任公司股东退股理论的阐述,分析了我国目前股东退股的立法现状及局限性,并提出立法建议。Stock retirement is the stockholder＇s right in Limited Liability Company,for the purpose of protecting the middle and small stockholders＇ legal right.This system is explicitly stated in ＂Corporation Law＇ article 75 amended in 2005,but there are still some problems in the implementation of the law.Based on the analysis of the system of the stock retirement,this paper expounds the present situation of legislation of stock retirement of stockholders and its limitations,and makes some advice.
