摘　　要：确保独立董事参与和监督公司决策的独立性和公正性,关键是独立董事选聘机制是否具有独立性。建立市场化的独立董事选聘机制是解决独立董事独立性差的关键所在。市场化独立董事选聘机制的核心是通过建立独立董事社会中介服务组织来实现独立董事选聘的公开、透明。本文探索性地构建了市场化独立董事选聘机制的总体框架和运行流程。The key point to ensure independent directors independence and fairness when they participate in and supervise corporate＇s decision is the independent mechanism for employing independent director.To construct the mechanism for employing independent director based on marketization is the key point to solve the problem of independent directors＇ lack of independence.The core of the mechanism for employing independent director based on marketization is to realize the open and transparent process of employing independent director by constructing intermediary service organization in society.This paper tries to construct the structure and process of the mechanism for employing independent director based on marketization.
