摘　　要：农业企业化经营是指用企业的经营思想或理念去经营农业,其经营的过程主要涉及农户、企业和政府三方,他们之间在农业企业化经营中的收益分配问题和经营成本、收益问题,是农业企业化经营中的核心问题。文章从制度经济学视角,通过对产权制度与交易费用、规模经济理论等的进一步分析,提出了建立激励政府人员参与经营的机制、提升农民文化水平和市场意识以及着力培养农村能人等解决的对策。The conception of management of agricultural enterprization is applying the business idea or concept of operation to agriculture. And the core problem of the management of agricultural enterprization is the income distribution, operation cost and profit problems among the government, corporations and peasants. According to the further analysis of property system, transaction cost and the theory about scale economy, this article, based on institutional economics proposes some solutions, including setting up systems to encourage government official to participate in management, upgrading peasants＇ cultural level and marketing consciousness and training able persons in the country.
