摘　　要：抗日战争结束后,上海电荒严重,上海当局与美商上海电力公司等积极商讨筹建上海联合电力公司,以解决电荒问题。但筹建过程中围绕专营权合约与借用外资、主权等问题争论甚多。这些争论反映出了时人对美商上海电力公司作为最大获益者的一种忧虑,也体现了外资企业与地方政府的一场博弈。At the end of the Anti-Japanese War,Shanghai faced serious electric power shortfall.To deal the problem,then Shanghai authority discussed with the American-funded Shanghai Electric Power Corporation for establishing a United Shanghai Electric Power Corporation.However,in the process of preparation arose numbers of controversies,including those on franchise contract,foreign capital loans and sovereignty.Those controversies reflect then people＇s anxieties on American enterprise＇s possession of greatest profits and they also reveal a game between foreign-funded enterprise and local government.
