摘　　要：上市公司要约收购作为西方证券市场上成熟的资本手段在我国还处于初级阶段。借鉴英国和美国的立法经验提出了完善我国要约收购制度的政策建议,对我国现行上市公司要约收购法律制度及我国与国外要约收购制度的差异进行了分析。Listed companies on the stock tender offer as a mature capital of Western instruments in China is still in its infancy.In this paper,our current legal system of listed companies and the Tender Offer Tender Offer System in China and abroad,the differences were analyzed and learn from the legislative experience of the United Kingdom and the United States put forward a sound system of the tender offer policy recommendations.
