摘　　要：土地承包经营权入股公司是承载创新精神的一项统筹城乡发展的大胆制度探索,但在现实中,其不仅与现有物权制度和商事制度存在诸多矛盾,而且在我国城乡二元结构矛盾突出、农村社保体系尚不健全的背景下面临着经济和政策等现实风险,为了寻求土地承包经营权入股公司的制度规范和渐进发展,需要在《公司法》之外,构建专门的《农业公司法》,在公司设立、公司退出、公司治理、农业保险等方面,做出不同于一般公司的特殊规定。The shareholding company of land contractual rights is a bold system exploration which bears innovative spirit in harmonious development of the urban and rural areas,however,there are lots of contradictions between the existing real right system and the commercial system,it also faces the economic and policy risks under the background of serious contradiction in the dual system of urban and rural structure and the not-perfect status of the rural social security system.To seek for the system regulation and progressive development of it,besides the ＂company act＂,we should enact ＂agricultural company act＂,which provides specific provisions on company establishment,company withdrawing from the market,corporate governance and agricultural insurance.
