摘　　要：本文根据《招标投标法》和《最高人民法院关于审理建设工程施工合同纠纷案件适用法律问题的解释》的有关规定,结合工程项目招标投标的实践与特点,分析了建设工程"黑白合同"问题的实质,界定了合同"实质性内容"的范围。在此基础上,分不同情形讨论了"黑白合同"的效力及认定。In the paper,the essence of ＂black and white contract＂ for construction project is analyzed and the range of substantial content is defined in accordance with the relevant prescriptions in Tendering and Bidding Law and Interpretation by Supreme People＇s Court on Issues Concerning the Application of Law to the Trial of Dispute Involving Construction Project Contracts and considering the characteristics pertinent to project tendering and bidding.Based on it,the validity and identification of ＂black and white contract＂ under a diversity of conditions are discussed.
