摘　　要：从董事责任保险理论与实践的思路分析了董事责任保险制度存在的主要问题,并借此提出了当前我国董事责任保险制度变革的路径,以期对实现我国董事责任保险制度的国际化与本土化的有机协调有所裨益。As modern company system gradually sets up and company social liability＇s legalization,directors liability insurance system emerges many dilemmas in practice.This thesis assays the main problems of directors liability insurance system from approaches both in theory and in practice,thus carries out the route for transformation of directors liability insurance system of our state,which in order to realize the benefit of internationalization and localization of directors liability insurance system in our state.
