摘　　要：微软诉TomTom公司专利侵权案引发广泛的争议和不安。该案和解结果暴露出开源软件许可面临着平衡各方当事人利益、保障自由共享价值目标实现及应对专利侵权风险等方面的法律困境。构建开源软件著作权集体管理制度是解决上述问题的最有效途径。开源软件著作权集体管理在制度设计上与音乐、音像和文字作品有所不同,这些不同具体地表现在集体管理组织的设立、与权利人的关系以及业务内容等三个方面。The misfortune of the open source software（OSS） camp in Microsoft v.TomTom stirs extensive disputes and anxiety.It exposes such traits of OSS licensing as how to balance the interests of all parties involved,how to maintain OSS free sharing spirit and how to handle patent infringement risk.The establishment of OSS copyright collective management system will be the best solution to the above-mentioned traits.OSS copyright collective management differs in the following aspects from that of musical,audiovisual and literary works： the establishment of collective societies,their relations with copyright holders and their scope of business.
