摘　　要：上市公司的社会责任已经得到新公司法的正式确认,为此,上市公司高级管理人员的职务行为也应当相应地承担社会责任。本文探讨了上市公司高级管理人员社会责任的理论基础以及现行的部分法律依据,并提出公司的社会责任是上市公司高级管理人员社会责任的原因和前提的思路。Social responsibility of the listed company has been formally acknowledged by the new company statute, therefore the high-level manager of the listed company also should accordingly takes social responsibility. This paper discusses about the theoretic fundament of it and part of active legal evidences , and puts forward the idea that the social responsibility of companies is its cause and requisite .
