摘　　要：公司社会责任应区分为抽象层面的社会责任和具体层面的社会责任两种形态。抽象层面的社会责任由"兜底性"条款规定,是对公司自治的一种内部限制,其实践价值体现在股东或董事可以此为由来抗辩其他主体的权利主张,法院可以此作为法律依据来对私权主体之间有关纠纷作出裁决等两个方面;具体层面的社会责任由具体的法律条文规定,是对公司自治的一种外部限制,具有强制执行力。Corporate social responsibility should be divided into two forms.Corporate social responsibility that prescribed by the specific legal provisions is an external restrictions to company autonomy that can be executed.Corporate social responsibility that prescribed by the ＂general＂ law is an internal limit to company autonomy whose practical value is that the shareholders or directors can be reflected for the claims of other subjects,and the court could serve as a legal basis to the principal of the private right.
