摘　　要：购并作为外商投资的重要形式,对推动我国经济长期平稳较快发展起到了积极的作用。基于对外商投资项目核准目的和外商购并境内高速公路企业特殊性分析的基础上,提出对"项目申请报告通用文本"中的要点及内容进行适当调整和优化,形成"外商购并境内高速公路企业项目申请报告"的编写要点和文本框架,并运用实例予以论述。As an important form of foreign investment,merger and acquisitions play active roles on facilitating long-period stable development of Chinese economy.Based on analysis of authorizing purpose for projects of foreign investment and investors about merger and acquisitions of domestic expressway enterprises,this study adjusted and optimized key aspects about of contents of general text of project application report,and proposed compiling high spots and text framework of ＂Project Application Report for Foreign Merchants′ Merger Acquisitions of Domestic Enpressway Enterprise＂,and further discussed it by case study.
