监事会职能实现的障碍及解决对策

摘　　要：我国公司监事会在职能履行中普遍存在公司重视度不高、监事专业素质低、监督不力等问题。从传统体制及立法方面,分析我国公司监事会职能未能充分实现的障碍,从而提出加强监事会独立性、强化监事会职权、完善监事的激励和约束机制等对策,以期强化监事会职能。There exist such problems as low attention, poor professional-quality and inefficient enforcement in the functions of supervisory boards in China. Based on the traditional systems and the legislation in China, the author has done an analysis on the causes for not fully functioning by the supervisory boards, and has put forward some countermeasures in strengthening the independence of supervisory boards, strengthening the authority of supervisors, and perfecting the incentive and restrictive mechanisms so as to strengthen the functions for the supervisory boards.
