摘　　要：公司瑕疵设立现象的发生影响了正常的社会经济秩序。由于我国公司法对公司瑕疵设立问题的处理缺乏明确的法律依据,致使实践中对于瑕疵设立公司效力的认定存在很大的随意性,不仅影响到公司自身人格的稳定性,也必然危及公司股东的利益及其与公司交易的安全。所以,无论在理论上还是在实践上都有深入研究公司瑕疵设立法律规制制度的必要性。Corporation defective interrupts the normal social economic order.Because domestic company laws lacks definite legal basis as to the setting up of corporation defective,it leads to the arbitrariness in the confirmation of corporation＇s effectiveness defective setting-up,which not only affects the stability of corporation＇s personalities,and endangers the share holders＇ interests and their security when dealing with the corporation.Therefore,it is necessary to study the rules and regulations in setting up defective incorporation system.
