摘　　要：中小企业对一国经济发展意义重大。本文全面研究了美国适合中小企业证券发行的小额、私募、州内发行等相关豁免或简式注册制度,和受限证券的转售、交易、清算结算和登记托管制度,并分析了相关特点,最后就我国中小企业证券制度的构建提出了若干思路。Small and medium-sized enterprises are of great significance to economic development.This paper gives a compressive study on the securities system in the United States which is suitable to small and medium-sized enterprises,such as small issue exemption,private placement issue exemption,and regulation on resale,trade,clearing,settlement,registration and depository of restricted securities.Then,the paper puts forward some suggestions on the construction of securities system of small and medium-sized enterprises in our country.
