中美商业秘密保护比较研究

摘　　要：对中美商业秘密的法律渊源、构成、侵权的认定与救济进行了比较,认为美国的商业秘密立法体系完备,法律保护实践成熟且水平很高。中国应尽早制定专门的商业秘密法,在法律中明确规定"商业秘密权",赋予商业秘密财产权地位,将分散在众多法律部门的商业秘密法律规范统一起来,借鉴、吸收反映市场经济共同规律的立法技术、法律规范,尤其是美国商业秘密立法中的先进之处。Comparing on the law sources,constitutive elements,identification of infringements and relieves of trade secret between China and USA,the paper holds that the trade secret legal system in the United States is sound and the protection is strong.China should establish special trade secret law as soon as possible,make clear the trade secret right,entitle the trade secret to the status of property right in law,unify the trade secret legal provisions in different legal departments,and absorb the law-making technology and legal provisions that reflect the common rules of market economy,especially the advancement in America＇s establishing trade secret law.
