摘　　要：公司资本制度作为公司法的基本制度,公司法学者从法学角度已经进行了详细的阐述。本文试图从一个新的角度即法经济学角度,就公司的资本信用基础、风险意识和公司有限责任等方面对公司资本制度进行一个全新阐述,从保护债权人利益的角度,提高人们对公司资本制度的认识,从而帮助设立一个适应时代需要和经济发展的新型公司资本制度。He corporate law scholars has in detail elaborated the corporate capital institution as the corporate law.
