摘　　要：在不确定的投资环境中 ,风险投资公司往往通过设计一份妥当的投资契约以规避投资风险 ,而其中最重要的是选择投资工具。本文通过重构特斯特模型 ,从一个新的视角分析了三种典型投资工具的利弊。In the uncertain environment of investment, venture capital funds often avoid investment risk through designing an investment contract, among which the most importance is to choose investment instrument. By found Trest's model again, the paper analyzes the advantages and shortcomings of three typical investment tools.
