摘　　要：对反收购的策略进行详细研究。通过经典案例分析,反收购策略中员工持股计划、白衣骑士、章程条款、法律诉讼和毒丸战术的成功率较高,对公司反收购较为有效。可以看出反收购策略在很大程度上能够有效遏制恶意收购的顺利进行,对维护公司和股东利益有着重要意义。The article makes a detailed research on anti-acquisition tactics.Through the analysis on typical cases,the article finds out that anti-acquisition tactics can effectively contain the smooth implementation of vicious acquisitions,which is significant for maintaining interests of listed firms and their shareholders.Successful anti-acquisition measures include employee shareholding plan,white knight,articles of association,lawsuit,and poison pills.
