基金会公共责任的实现困境及其对策分析——以理事会治理为考察点

摘　　要：随着基金会的快速发展及其对现代公共生活影响力的逐步扩大,关于此类组织如何通过完善理事会治理结构践行公共责任的讨论逐渐增多。尽管当下中国法律从多个方面对基金会理事会治理进行了规范,但诸多影响理事会有效履行其治理职责的阻滞性因素依然存在。为促进基金会公共责任的实现,未来的政策选择主要包括强化信息沟通机制和理事补偿机制建设、加强理事会监督权,以及完善业务主管单位与理事会间的职权配置。With the rapid development of foundations and thus their increasing influence on modern public life,discussions on how such organizations realize their public responsibilities through the board governance are accumulating.Although laws in modern China have regulated board governance of foundations in various aspects,many factors hindering the board to subscribe its governance responsibilities effectively still exist.In order to improve board governance of the foundations and realize their public responsibilities,the policy choice in the future should include strengthening the mechanism of information communications and director compensations,enhancing the board＇s power of superintendence,consummating the power distribution between the department in charge and the board.
