摘 要:研究善意取得转让合同的效力问题可以解决《物权法》第106条与《合同法》第51条法律适用的理论困惑和冲突。通过论证和阐述,该文认为善意取得制度不应该遵循《物权法》中规定的一般物权变动模式(即我国原则上所采债权形式主义),因为善意取得制度本身的设立就在于以牺牲财产的静的安全来维护交易财产的动的安全。只要适用《合同法》第51条的规定,善意取得的转让合同的法律属性就应该被认定为无效。Studying on the effectiveness of contract transfer of bona fide acquisition can be used to deal with the theoretical confusion and conflict between article 106 of the Property Law and article 51 of the Contract Law. It is proposed that Bona fide acquisition should not follow the general rule of transferring property rights which is stipulated in the Property Law in our country, because the system of bona fide acquisition sacrifices the property static security to defend the trade security of property. As long as the article 51 of the Contract Law can be applied, the contract transfer of bona fide acquisition should become invalid.
