摘　　要：近期中国企业的海外并购案,由于遭受东道国的各种阻碍,有些企业海外并购过程一波三折甚至无法完成并购,有些企业对并购风险估计偏差也导致海外并购最终失败。因此,企业实施海外并购时,必须全面识别和评估评估并购前、并购中和并购后的各种风险,并能够向并购方提出预警,从而及时预防、化解、控制海外并购风险。Recently,overseas mergers of Chinese enterprise are suffered from all various of obstacles,which lead to difficult overseas MA process of some enterprise and can＇t finish MA.Valuation deviation of MA risk on some enterprise eventually resulted in lost and defeat.Therefore,the enterprise must be fully distinguish and assess all kinds of risk of MA and put forward to prevent,control and dissolve effective measures on the MA risk when it implement foreign MA.
