摘　　要：公司作为社团法人,孕育了复数的权利主体,其理论基础为公司的财产架构和公司治理结构。股东权利与公司权利的分合乃至冲突构成公司运行的常态,为此需要借助公司章程、公司法等内外力量,采用不同的路径对失范的权利进行导引和法律规制,在各权利主体间求得平衡。The company as an artificial person, which gives birth to the plural subject of rights, establishes the theoretical foundation for the company＇s property structure and corporate governance structure. Shareholder＇s rights and corporate rights, division and even conflict, constitutes the company＇s normal operation, which requires using the company＇s charter, company law, such as internal and external forces, using different path loss of the right guidance and legal regulations, resulting in main strike a balance among the plural subject of rights.
