摘　　要：针对当前高尔夫球俱乐部公司治理机制尚不完善的问题,提出了利益相关者共同治理的构想。在概述高尔夫球俱乐部利益相关者及其利益诉求的基础上,分析了俱乐部与利益相关者的利益冲突及原因,分别对内部参与型、交易契约型和社会督促型三种治理机制的构建进行了阐述,以期通过利益相关者的共同治理,建立以俱乐部为载体、各利益相关者广泛参与的治理形式,完善俱乐部的公司治理。In view of the problem that the corporate governance mechanism of golf clubs is not perfect, this paper puts forward the co-governance conception of the stakeholders. On the basis of outlining the golf clubs＇ stakeholders and their demands, it an- alyzes the conflict of interest between clubs and stakeholders and the reasons. It elaborates three managing mechanisms which are internal particiPation, market transactional governance and social supervision, aiming to establish a kind of governance form which takes the golf clubs as the carrier including shareholders and improve the corporate governance of golf clubs.
