云南省大型企业集团公司治理问题研究

摘　　要：云南省的大型企业集团是伴随云南国有企业改革而逐步产生和发展的,到2011年8月为止,云南省销售收入超百亿的大型企业集团已有15户。但是,云南省企业集团公司的治理仍处于初级阶段,法人治理结构尚存在不完善,集团内部宽紧适当、效能充分的管控体制尚未形成,公司治理的外部约束机制尚不健全等问题,文章提出了要深化企业股份制改造,优化股权结构;完善法人治理结构;建立健全企业集团的内部控制和协调机制;健全企业集团外部治理机制等方面的公司治理完善对策建议。Yunnan＇ s large enterprise groups are the products of the reform of Yunnan＇ s state - owned enterprises. By the end of August 2011, there were 15 such enterprise groups whose sale income reached over 10,000,000,000 （yuan） each. However, their manage- ment remains at the initial stage, its corporate governance structure is not perfect, no good or efficient control system either inside or outside the group. So it is necessary to further reform their shareholding system, optimize their stock ownership structure, perfect the corporate governance structure, set up and perfect their internal control and coordination mechanism as well as their external manage- ment system.
