摘　　要：Li(2003)和王永钦(2006、2009)在认识到关系型治理对于经济发展的重要意义的同时,也指出了从关系型治理向正式治理转型的必要性。从微观主体对合约形式的选择行为入手,可以建立了一个最优化模型来进一步研究从关系型治理向正式治理转型的条件和策略,具有一定的现实意义。Li （ 2003 ） and Wang Yongqin （ 2006,2009 ） focus on the importance of the relational contract in the economic development, and at the same time point out the necessity of the governance transition from relational contract to formal contract. Based on the analysis of the economic agents choices for contract form, this article sets up an optimum model to study the conditions and strategies of the governance transition from relational contract to formal contract, which has its significance.
