汽车行业上市公司治理结构与公司绩效关系研究

摘　　要：公司治理结构是现代企业制度的核心,是企业经营管理的关键因素,有效的公司治理结构已经成为提高公司绩效的必要条件。汽车行业作为我国工业的重要组成部门,通过研究我国汽车行业30余家上市公司治理结构与公司绩效之间的关系,采用描述性统计的方法,在公司治理理论的基础上,以股权结构、高管激励方式、董事会结构三个层面为基础来研究汽车行业上市公司治理结构与公司绩效之间的关系,最后得出结论,并以此作为依据,给汽车行业公司治理结构提出建议,以促进汽车行业公司绩效的提高。Corporate governance structure is the core of modern corporate institution,and it is the key factor of corporate operating management.Recently,the corporate governance of China listed company need to be improved urgently.This problem has been paid great attention by the researchers.Effective corporate governance structure is the requirement of improving corporate performance.The automotive industry is an important component of China＇s industrial sector,and it is making great contribution to developing the economy.Doing research on the corporate governance structure of automotive industry will help perfecting the performance of Chinese automotive industry,and will help improving the corporate governance structure of other industrial sectors. By using descriptive statistics method to research the relationship between corporate governance structure and corporate performance of more than 30 listed companies in automotive industry from ownership structure,CEO compensation and board committee structure three aspects will draw a conclusion,which will be the foundation of suggesting automotive industry corporate governance structure and even other sectors of industry.
