摘　　要：随着村镇银行的不断发展,遇到的问题也越来越多,尤其是批量化、规模化、专业化设立的问题。历经"总分行制"、"管理总部制"、"控股公司制"等设想的搁置,银监会又提出"村镇银行子银行"的建议,并把《商业银行村镇银行子银行管理暂行办法(征求意见稿)》下发至各商业银行征求意见。为此,本文对设立村镇银行子银行的优势与劣势进行分析。With the continuous development of the rural bank,more and more problems arise,especially in the bulk,scale,professional of its setting up.After the shelving of the idea of ＂branch＂ system,＂Management Headquarters＂ system,＂the holding company system＂,the CBRC has put forward the recommendations of ＂the rural bank subsidiary＂,and issued The Commercial Bank Rural subsidiary Management Interim Measures（Draft） to all commercial banks for advice.This paper first introduces the rural bank subsidiary,and then analyses the advantages and disadvantages of the rural bank subsidiary.
