摘　　要：在入股模式上,农民专业合作社承载了有利于维护农民土地权益的组织优势,是土地承包经营权入股选择的较佳制度安排。同时,现行制度安排的缺陷与不足,并不能回应土地入股农民专业合作社实践中的诸多问题。因此,农民专业合作社制度优势的发挥不仅有赖于其自身制度的完善,还需要政府根据社会经济发展的现实需求优化土地承包经营权入股合作社的制度环境。Specialized cooperatives of farmers provide organizational advantages of safeguard- ing farmer＇ s land equity in the investment pattern, so it is a good institutional arrangement to become a shareholder of cooperatives with land contractual management right. Meanwhile, many problems in becoming a shareholder of farmer＇ s specialized cooperatives with land cannot be an- swered because of the disadvantages and insufficiency of the present institutional arrangement. Therefore, taking full institutional advantage of farmer＇ s specialized cooperatives depends not only on the improvement of the system of itself, but also the support of government in optimizing the system environment based on practical need of social and economic development.
