摘　　要：法律重述是美国法学会为改革普通法而创制的一种特色鲜明的类法典体裁。它之所以在美国的法律体系中运用广泛,影响深远,不光是因为它科学的内容和多重适用性,更在于其较好地平衡了确定性和灵活性这对法律当中永恒的矛盾。也因为如此,重述法律的方法为国际商法所借鉴,制定出《国际商事合同通则》。Restatement of law is a kind of special law form which was created by the American Law Institute for common law reform. It has been widely used not only because of its reasonable content and the various function, but also because it could balance the certainty and flexibility of law. Based on the characteristic it has, the way of restating the law has been used to make the Principles of International Commercial Contracts.
