摘　　要：有限责任合伙制度最早产生于美国,为专业合伙中合伙人的无限连带责任予以合理限制提供了制度保障。在美国的影响下,有限责任合伙制度在英美法系国家和地区的立法中得到了发展和完善,其适用范围逐步扩展到各种营业。与有限合伙以及有限责任公司相比而言,有限责任合伙制度更有利于对其成员的利益进行保护。我国新《合伙企业法》并未规定有限责任合伙制度,而是以特殊的普通合伙代替。这一规定虽然在一定程度上满足了我国专业服务机构的迫切需要,但仍存在一定的缺陷。Limited liability partnership system is first produced in the United States, which provides institutional guarantee lbr partners＇ unlimitedjoint and several liability. Under the influence ofthe United States, Limitedliability partnership system is developed and improved in the legislation in England, America and France, etc, And its scope of application extends to all kinds of business gradually. Compared with the limited partnership and the limited lia- bility company, the limited liability partnership is better to protect the interests of the members. The Partnership law doesn＇t work out the limited liability partnership system, but the special general partnership system. Although this can meet the needs of the professional service organizations to some extend, there still exists some defects.
