摘　　要：通过比较研究美国三板市场,回顾并分析我国新三板的发展历程,它促进中小高新技术企业发展,也完善风险资本退出体系,最后提出发展我国新三板市场的对策。Through the comparison study of USA＇s OTC market, China＇ s national new OTC market can be developed based on Zhongguancun agency stock transfer market, it caters to the financing need of most high - tech SMEs. The paper focuses on the new national agency share transfer system including its history, operation functions and dysfunctions, and final development countermeasures.
