摘　　要：外兼并与重组虽然已经成为国内企业对外投资的重要形式。而对于中国汽车零部件企业而言，选择海外兼并与重组也是化解困局、适应国内汽车快速发展的突围之计。据悉，中国目前拥有的1600亿美元年销售额的汽车零部件市场中，70％的份额是被外资或合资企业所占领。而中国零部件企业由于处于分散状态．加上技术研发、产品结构、质量和成本控制等方面与国际水平的差异，Although the merging up and regrouping already become an important format for domestic enterprises to make investment overseas, but as to Chinese auto parts enterprises, the choices of merging up and regrouping are also the stratagem of breakthrough for resolving predicament and suitable for development of Chinese auto parts. At this key moment, during the ＂2012 Annual Conference of Auto Parts Industry in China and Development Forum of Auto Parts in China＂ , the CAAM had hosted the branch forum of ＂Merge up＆Regroup Overseas in Auto Parts Industries＂ .
