论投资合同中排他性管辖条款对“保护伞条款”作用的限制

摘　　要：保护伞条款特别重要因为它保护投资者合同项下的权利免受任何干涉,这种干涉可能来自于单纯的违约或者是立法、行政行为。投资合同是当事人双方自由意志一致的产物,合同既然合法有效,合同中争端解决条款就应受到双方当事人以及国际仲裁庭的尊重。投资合同中排他性管辖条款的订入不会使国际仲裁庭形同虚设。排他性管辖条款的作用在于限制国际仲裁庭借"保护伞条款"扩大管辖权,但并不消灭国际仲裁庭的管辖权。投资合同中排他性管辖条款可以有效对"保护伞条款"起限制作用,同时又兼顾灵活性,不失为解决"保护伞条款"之争的一个出路。Since Umbrella Clause protects the contractual rights of investor free from any intervention, which may stem from breaking one＇s promise or from legislative or administrative behavior, it is particularly important. Investment contact is the product of parties＇ free wills and the dispute resolution clause of investment contact should be respected by both parties and also the international court of arbitration if the contract is valid. The exclusive forum clauses in investment contract will not overhead the international court of arbitration. The function of exclusive forum clauses is to restrict the international court of arbitration to broad its jurisdiction through the Umbrella Clause, not to evict the jurisdiction of he international court of arbitration. The exclusive forum clauses in investment contract can effectively restrict Umbrella Clause and in the meanwhile it takes flexibility into account. Setting exclusive forum clauses into investment clause is a way out of the Umbrella Clause dispute.
