摘　　要：产业技术创新战略联盟取得成功的关键就是要建立完善的利益分配机制。从产业技术创新战略联盟的利益分配过程出发,对产业技术创新战略联盟的利益构成,包括利益主体和利益客体、利益分配应该遵循的原则、利益分配的方式与契约和实体模式下产业技术创新战略联盟利益分配方式的选择进行了探讨和论述。The perfect interests distribution mechanism is the key to the success of the industrial technology innovation strategy alliance. The paper, proceeding from the process of interest distribution of industrial technology innovation strategy alliance, discusses and discourses about the interests component of industrial technology innovation strategy alliance, including interest bodies and interest object, the principles which distribution of interests should follow, the mode of interests distribution and the interests distribution mode option of industrial technology innovation strategy alliance in contract and entity mode.
