摘　　要：民营企业是我国经济社会发展的重要力量,当前我国民营企业正处于二次创业的关键时期。在简述民营企业二次创业现状的基础上,总结了民营企业二次创业的模式,分析了民营企业二次创业存在的问题,并从民营企业系统内外部两方面探讨了影响民营企业二次创业的因素。借鉴耗散结构理论的观点,运用"熵原理"分析了民营企业二次创业,研究了民营企业创业的演化路径和民营企业二次创业的机理,提出了促进民营企业二次创业的对策。As an important force of China＇ s economic and social development, the private enterprises presently are in a critical period of the second venture. This article describes the current situation, modes and existing problems of the second venture of private enterprises, and discusses the influential factors from and outside the private enterprise system. Based on the view of the dissipative structure theory, it applies the entropy principle to analyze the second venture of private enterprises, researches the evolution path of entrepreneurship and the mechanism of the second venture, and finally proposes the countermeasures to promote the second venture of private enterprises.
