摘　　要：我国《公司法》确立了"私法自治原则"在公司章程中的法律地位,其中第72条授权公司章程来对股权转让设定转让条件或限制。这种条件包括股东之间股权转让的条件和股东向股东之外的人股权转让的条件。本文探讨了当公司章程中对股权转让规定的条件比《公司法》规定的条件或宽松或严格时,股权外部转让限制对股权转让合同效力的影响。The Private Law Autonomy Principle is established the legal status in the articles of association of our country＇ s Company Law, in which the Article 72 authorizes the articles of association set transfer conditions or restrict the stock right transfer. The conditions include the transfer conditions between stockholders or stockholders transfer stock right to non stockholders. This paper discusses the influence on equity transfer contract effectiveness caused by the limitation of equity external transferring when the equity transfer conditions in the articles of association of are more loose or strict than the stipulated conditions in the Company Law.
