国际板背景下证券法制的困境与变革

摘　　要：在资本市场国际化和建设国际金融中心的背景下,国际板的推出已是大势所趋。但由于跨境难题的存在,境外企业在我国境内上市存在着包括市场准入、法律冲突、市场监管和投资者保护等各种法律障碍与漏洞,我国现行证券法制面临着巨大的挑战和困境。为了适应国际板市场发展要求和保障国际板健康有序的发展,我国证券法制应与时俱进实现制度进化。在证券法制变革中,我们要反思和检讨传统的立法背景、立法理念和立法技术的缺失,妥善处理市场安全与效率、法律的稳定性与时代性以及投资者保护等问题,通过法律移植和法律创新的双重路径实现证券法制的改良与重构。On the background of the capital market internationalization and the financial center construction, foreign corporation offering in China will be a trend. But market access, law conflicts, supervision and investors protection are the main obstacles for the current securities law in China. In order to meet the demands and promote the development of the market, our securities law needs evolution to keep pace with times. We need to review the drawbacks of the background, philosophy and technique of the traditional law, keep balance between the security and efficiency, stability and contemporaneity, and achieve the reform of the securities law via legal transplant and innovation.
