摘　　要：产业转型升级与转变经济增长方式已成为中国当前的经济发展战略,为此以广东省产业结构优化为研究重点,运用广东省1979～2010年经验数据就金融发展与外商直接投资对产业结构优化的影响进行实证检验。结果表明:金融发展有利于广东省产业结构的优化,外商直接投资对广东省产业结构优化的影响并不显著;但是,外商直接投资的技术溢出效应却可以通过人力资本将其转化为现实的生产能力,在一定程度上有利于广东省的产业转型升级。要从根本上实现广东省的产业转型升级,必须以金融手段促进企业提高自主创新能力,提升企业的核心竞争力。The industrial transformation and upgrading and the transformation of the mode of economic growth have become China＇ s current economic development strategy. Then focused on the research on the optimization of the industrial structure in Guangdong province, this paper carried the empirical study on the effect of the industrial structure opti-mization from the financial development and the foreign direct investment, by applying the Guangdong province 1979-2010 year experience statistics. The results show that：The finan-cial development benefits the optimization of the industrial structure in Guangdong province, the foreign direct investment does not significantly affect the optimization of the industrial structure in Guangdong province,however,the technical spillover effect of the foreign direct investment can be transformed into the realistic productivity by the human capital ,which is in favor of the industrial transformation and upgrading of Guangdong province in a certain extent. In order to achieve the industrial transformation and upgrading in Guangdong prov-ince, enterprises must enhance their own innovative capacity by financial means, promoting the level of their core competitiveness.
