摘　　要：破产管理人的角色实为债务人企业在破产重整阶段的受托监护人。"受托"二字指称是破产管理人代表着债务人企业股东、债权人等关系人的利益。只不过破产管理人接受的委托并不是一般的财产管理的委托;而是对困境中的"企业子女"人身和财产的监护。Actually, the role of bankruptcy administrator is the debtor enterprise＇ s entrusted guardian in bankruptcy restructuring phase. The meaning of the word, entrusted, is that bankruptcy administrator represents the debtor enterprise shareholder, creditor and other parties＇ interests. The entrustment which bankruptcy ad-ministrator accepts is not a normal property management, but the guardianship of enterprise for ＂the children of the bankrupted＂ and the property in the plight.
