摘　　要：为了应对资本市场的国际竞争,日本金融厅提出了"金融、资本市场竞争力强化计划"。为了将此金融政策上升为法律,2008年3月4日,日本金融厅向国会提交了《金融商品交易法》修正草案,对2006年刚刚修订的证券交易法并更名为金融商品交易法的相关金融法制进行修改,2008年6月6日,国会通过《部分修改金融商品交易法的法律案》。该法案为创设面向专业投资者的市场提供了法律依据,东京证券交易所据此与伦敦证券交易所合作开设了TOKYO AIM市场,其相关的市场运作方式与法律框架对我国建设多层次资本市场具有重要的借鉴意义。For response to the international competition of capital market, Japanese Financial Service Authority （FAS） submitted the Program on Enhancement to Japanese Competition in Financial and Capital Market in 2007. In order to raise the Program to legal level, FAS submitted the draft on amending the financial instruments and exchange law to the congress. On June 6, 2008, the amendment was passed, which established the legal frame for the market designed for professional investors. In accordance with this law, Tokyo Securities Exchange and London Securities Exchange established TOKYO AIM as a part of the Tokyo securities market.
