摘　　要：为了保护少数股东的权利和防止股份有限公司资本多数决原则的滥用 ,应借鉴外国成功的立法经验及具体做法 ,完善我国《公司法》及有关少数股东权的法律保护制度。In this paper it is argued that successful experience of other countries for reference and practical methods concerned should be used to improve the Law of Company and the legitimate protection system of less-shared stockholders in China. The legitimate protection system can protect the rights and interests of less-shared stockholders and prevent the misuse of the principle that the much-shared limited-liability company has much right.
